Business Finance

Our practice covers nearly the entire spectrum of financial and
commercial transactions. We serve more than thirty of
the largest financial institutions in the world.

Our Business Finance Group is a high level boutique with the knowledge, creativity and experience to handle all aspects of business finance.  We represent virtually every type of financial institution:  domestic and foreign banks, bank holding companies, hedge funds investment banks, leasing companies, asset-based lenders and finance companies. We help structure, negotiate and close finance transactions in various areas including working capital and acquisition lines of credit, asset based and cash flow lending, junior lien and mezzanine financing, letter of credit and trade finance, municipal bond finance and domestic and international syndicated loan transactions.  These finance transactions involve all types of borrowers (including ESOPS and entities involved in a broad range of industries such as finance, healthcare, manufacturing, telecommunications, jewelry, apparel, media and transportation) and all types of assets (including receivables, inventory, equipment, real estate, fixtures, chattel paper, intellectual property and securities and other instruments).

Financial institutions engage us in connection with asset-backed warehouse and repurchase transactions, factoring and other off-balance-sheet financings and the sale and/or acquisition of portfolios of loans or entire business segments of other financial institutions.  Investment bankers engage us to document the purchase, sale and design of financial derivatives, including interest rate and currency swap transactions and other new financial products.  Merchant banks, broker-dealers, investors and investment managers come to us with credit risk and bankruptcy issues, as well as securities law matters relating to investments and trading.

Working closely with our colleagues in the Real Estate, Securities & Tax and, when necessary, Trusts & Estates Practice Groups, our integrated approach allows for maximum coordination and integration and a unified understanding and approach to achieving clients’ goals.  Likewise, we actively advise clients and handle many loan workouts and restructurings, debtor-in-possession financings and Chapter 11 reorganizations, involving, as needed, colleagues from the Bankruptcy & Restructuring and Litigation Practice Groups, so that, at every turn, a client is fully apprised of its options and the range of alternatives.
