Dan represents financial institutions and borrowers in all aspects of commercial lending transactions. He has experience in structuring, negotiating and closing a wide variety domestic and cross-border financing transactions, including acquisition and leveraged buyout financings, asset-based financings, debtor-in-possession financings, exit financings and letter of credit facilities. Dan is involved in all aspects of deal structure and in the negotiation and documentation of such transactions, including the negotiation of inter-creditor relationships among senior and junior creditors. He also has significant experience with restructuring and workout transactions.
Selected representations:
- The sole lead arranger, administrative agent and collateral agent, in connection with a $90 million revolving credit facility that was utilized to fund Orchard Brands Corporation’s plan of reorganization and will fund the ongoing working capital needs of the reorganized company.
- The co-lead arranger, administrative agent and collateral agent, in connection with a $185 million credit facility consisting of a $125 million asset-based revolving credit facility and a $60 million “last-out” term loan that was utilized for a recapitalization of a leading specialty vehicle manufacturer.
- The sole lead arranger, administrative agent and collateral agent, in connection with a $65 million credit facility that was utilized by the affiliates of a private equity firm to acquire a leading provider of emergency and rescue vehicles.
- The administrative agent and collateral agent, in connection with a $25 million asset-based revolving credit facility provided to a leading manufacturer of highly engineered, specialty metal products.
While at law school, Dan was elected to the Order of the Coif and was a member of the Case Western Reserve Law Review.
